Item 1.01 Entry into a Material Definitive Agreement

On January 9, 2009, AMRI Rensselaer, Inc. (formerly Organichem Corporation), a wholly-owned subsidiary of Albany Molecular Research, Inc. ("the Company") entered into the Second Amendment to the August 31, 2005 Supply Agreement ("the Amendment") with GE Healthcare AS (formerly Amersham Healthcare AS), ("GE"). The Amendment extends the effective date of the August 31, 2005 Supply Agreement between the Company and GE from December 31, 2010 to December 31, 2013 and amends certain terms relating to pricing and quantity requirements under which the Company would supply a raw material for use in one of GE 's diagnostic imaging agents. The August 31, 2005 Supply Agreement by and between the Company and GE is attached as Exhibit 10.1 to the Company's 10-Q filed November 4, 2005
